Terms of Service.
The agreement between you and HRTG when you use the vault. Plain language where the law allows it. The rest kept short and structured.
About these terms
These Terms of Service (the “Terms”) form a binding agreement between you and HRTG PTE. LTD.(UEN 202539439D), a private company limited by shares incorporated in Singapore (“HRTG”, “we”, “us”, or “our”), in respect of your access to and use of the website at www.hrtg.me, our applications, and any other product or service we provide that links to these Terms (collectively, the “Services”).
By creating an account, accessing, or otherwise using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use the Services.
These Terms are concluded electronically under the Electronic Transactions Act 2010 of Singapore. You consent to contract by electronic means.
Eligibility
To use the Services, you must:
- be at least eighteen (18) years of age, or the age of majority in your jurisdiction (whichever is higher);
- have the legal capacity to enter into a binding contract;
- not be barred from using the Services under the laws of Singapore or any other applicable jurisdiction; and
- provide accurate and current information when registering for an account.
If you are accessing the Services on behalf of another person or organisation, you represent that you have the authority to bind that person or organisation to these Terms.
The services
HRTG provides a digital vault for the secure storage of memories, knowledge, documents, and instructions, designed to be passed across generations. User content is protected by end-to-end encryption: it is encrypted on your device before reaching our servers, and your encryption keys never leave your control. HRTG itself cannot read, decrypt, analyse, scan, or recover user content.
The Services are not:
- a will, codicil, or testamentary instrument. Anything you store in the vault is informational and does not, by itself, transfer legal title to property on death. To make a legally effective will in Singapore, you should comply with the Wills Act 1838 and obtain independent legal advice.
- legal, financial, tax, accounting, or estate-planning advice. Content in the Services is for general information only. You should consult a qualified professional before acting on anything stored in the vault.
- a custodian of money, securities, or digital payment tokens. HRTG does not hold or transmit money, e-money, or digital payment tokens on your behalf and does not carry on a payment service within the meaning of the Payment Services Act 2019.
- a regulated financial institution, trust company, or fiduciary. HRTG is registered under SSIC 62021 (Information technology consultancy, except cybersecurity) and provides software services only.
Your account
You are responsible for maintaining the confidentiality of your account credentials, recovery codes, encryption keys, and any other authentication factors. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised access or suspected breach.
You must provide accurate information when registering and keep your account information up to date. We may refuse, suspend, or revoke access to any account at our reasonable discretion, including where we suspect a breach of these Terms or unlawful activity.
User content and encryption
You retain all ownership rights in the content you upload to the vault (“User Content”). You grant HRTG a limited, worldwide, non-exclusive, royalty-free licence to host, store, transmit, replicate, back up, and otherwise process your User Content in encrypted form solely as necessary to provide the Services. This licence terminates when you delete your User Content or close your account, subject to reasonable operational delays for backup expiry.
You represent and warrant that you own or have all necessary rights to your User Content and that your User Content does not infringe any third party’s rights or violate any applicable law.
Because your User Content is end-to-end encrypted, HRTG cannot read, search, or recover its contents. If you lose your encryption keys, recovery factors, and any backup mechanism we make available, your User Content may become permanently inaccessible. You acknowledge that this is a deliberate consequence of the privacy architecture.
Acceptable use
You must not use the Services to:
- upload, store, transmit, or share content that is unlawful, fraudulent, defamatory, obscene, threatening, harassing, or that infringes any intellectual property right or other right of any person;
- store or distribute child sexual abuse material, terrorism-related material, or content that incites violence or hatred, in violation of the Penal Code 1871, the Online Criminal Harms Act 2023, the Online Safety (Miscellaneous Amendments) Act 2022, or any other applicable law;
- transmit any virus, worm, trojan horse, ransomware, or other malicious code, or interfere with the integrity, performance, or availability of the Services;
- attempt to gain unauthorised access to any account, system, or data, or to bypass any security, authentication, or rate-limiting measure;
- decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of any part of the Services, except to the extent expressly permitted by law;
- use the Services to send spam, phishing messages, or unsolicited communications;
- scrape, harvest, or mass-extract data from the Services, or use any robot, spider, or other automated means without our prior written consent;
- resell, sublicense, or commercially exploit the Services except as expressly permitted by us in writing; or
- use the Services in breach of any applicable sanctions or export-control law.
We may, at our reasonable discretion and without prejudice to our other rights, suspend or terminate access to the Services for any breach of this clause.
Fees, billing, and refunds
Certain features of the Services may be offered on a paid basis. Where they are, the price, billing cycle, and applicable taxes (including Singapore Goods and Services Tax where chargeable) will be displayed at the point of purchase.
Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel a subscription at any time through your account settings. Cancellation takes effect at the end of the then-current billing period.
Except where required by law, fees are non-refundable. We may change our prices on at least thirty (30) days’ advance notice; any change will take effect from your next billing cycle.
Death of a user
We recognise that the Services are designed to outlive their users. On the death of an account holder, the personal representative of the deceased may apply to us for access to the deceased’s account by providing:
- an original or certified true copy of the death certificate issued by a competent authority;
- an original or certified true copy of the Grant of Probate or Letters of Administration issued under the Probate and Administration Act 1934 of Singapore, or the equivalent instrument from a recognised foreign jurisdiction; and
- satisfactory proof of identity of the personal representative.
Even where we accept that an applicant is the lawful personal representative of the deceased, end-to-end encryption means HRTG cannot decrypt User Content without the deceased’s keys or the recovery factors that the deceased configured during their lifetime. We will, where future product features permit, give effect to recipient designations, time-locked releases, and other inheritance flows that the deceased configured during their lifetime.
Mental incapacity
Where an account holder loses mental capacity, we will give effect to a Lasting Power of Attorney granted under the Mental Capacity Act 2008 of Singapore, or an equivalent instrument from a recognised foreign jurisdiction, on production of the relevant instrument and satisfactory proof of identity of the donee. The technical limitations described in the “Death of a user” clause apply equally here.
Dormant accounts
Where an account has had no successful sign-in activity for a continuous period of twenty-four (24) months, we may treat the account as dormant. Before taking any action that could result in the loss of User Content, we will send reasonable advance notice to the last known contact details on the account and, where possible, allow a recovery period before suspension or deletion.
Suspension and termination
We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, if your account is used for unlawful or harmful activity, if required by law or a court order, or if the continued operation of your account creates a material security risk.
You may close your account at any time through your account settings or by writing to us. On closure, we will delete or anonymise your personal data in accordance with the Privacy Policy, subject to retention required by law.
Intellectual property
The Services, including all software, text, graphics, logos, icons, audio clips, video clips, designs, and the “HRTG” brand, are owned by HRTG or our licensors and are protected by Singapore and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Services for your own personal, non-commercial use in accordance with these Terms. No other rights are granted.
We respect intellectual property rights and expect users to do the same. If you believe that material on the Services infringes your copyright, you may send a written notice to us in accordance with the takedown procedures contemplated by the Copyright Act 2021 of Singapore. The notice must identify the allegedly infringing material, your contact details, and a statement of good-faith belief that the use is not authorised.
Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. HRTG makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, or that the Services will be uninterrupted, secure, or error-free.
Nothing in this clause limits or excludes any warranty, condition, or right that cannot lawfully be excluded under the Unfair Contract Terms Act 1977, the Consumer Protection (Fair Trading) Act 2003, or any other Singapore statute.
Limitation of liability
Nothing in these Terms limits or excludes HRTG’s liability for:
- death or personal injury caused by HRTG’s negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot lawfully be limited or excluded under the Unfair Contract Terms Act 1977, the Consumer Protection (Fair Trading) Act 2003, the PDPA, or any other applicable Singapore statute.
Subject to the above and to the maximum extent permitted by law:
- HRTG will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive loss or damage, or for any loss of profits, revenue, goodwill, business opportunity, anticipated savings, or loss or corruption of data, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, and even if HRTG has been advised of the possibility of such loss; and
- HRTG’s aggregate liability arising out of or in connection with these Terms or the Services in any twelve (12) month period will not exceed the greater of (i) the total fees actually paid by you to HRTG for the Services in that twelve (12) month period and (ii) one hundred Singapore dollars (SGD 100).
You acknowledge that the limits in this clause are reasonable having regard to the nature of the Services, the price (which may be zero), and the fact that end-to-end encryption places certain risks (including key loss) within your sole control.
Indemnity
You agree to indemnify and hold harmless HRTG, our officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees on an indemnity basis) arising out of or in connection with: (a) your User Content; (b) your use of the Services in breach of these Terms or applicable law; or (c) your infringement of any third party’s right.
Third-party links and services
The Services may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third party. Your use of any third-party website or service is at your own risk and subject to that third party’s terms.
Changes to the services and these terms
We may modify, suspend, or discontinue the Services or any part of them at any time. We will not be liable to you or any third party for any such change, suspension, or discontinuation, except where it relates to paid services that have been pre-paid, in which case we will provide a pro-rated refund of any unused portion.
We may revise these Terms from time to time. We will give you reasonable advance notice of material changes by email or through the Services before they take effect, and the current version is always available on this page with its last-updated date. If you do not agree to a material change, you may close your account before the change takes effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
Force majeure
HRTG will not be liable for any failure or delay in performing its obligations under these Terms where the failure or delay arises from any cause beyond our reasonable control, including acts of God, pandemic or epidemic, war, terrorism, civil disturbance, strike, embargo, sanctions, government action, failure of telecommunications or internet infrastructure, or failure of a third-party service provider.
Governing law and dispute resolution
These Terms and any non-contractual obligation arising out of or in connection with them are governed by and construed in accordance with the laws of Singapore.
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, will first be resolved by good-faith negotiation between the parties for a period of thirty (30) days from written notice.
If the dispute is not resolved within that period, it will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules then in force. The seat of arbitration will be Singapore, the language English, and the tribunal will consist of one arbitrator.
Notwithstanding the foregoing, where you are a consumer and the value of your claim falls within the jurisdiction of the Small Claims Tribunals of Singapore, you may at your option bring the claim before that tribunal. Either party may also seek interim, injunctive, or other urgent equitable relief in any court of competent jurisdiction.
Third-party rights
A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any term of these Terms, save that recipients and personal representatives identified pursuant to inheritance or access-control features may enforce rights expressly granted to them.
General
Entire agreement. These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and HRTG in respect of the Services and supersede all prior or contemporaneous understandings.
Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable.
Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to any successor in connection with a merger, acquisition, reorganisation, financing, or sale of assets.
Notices. We may give notice under these Terms by email to your registered email address or by posting on the Services. You must give notice to us in writing to hello@hrtg.me.
